Officer & Committee Structure

Term 2026-2028 (Revised for Operational Flexibility)

This document defines the core Board Officer positions of the ISCÇ Chicago Chapter

and the associated Committee Chair roles. To maintain operational flexibility and

adapt to changing chapter needs, the constitutional Board Officer positions are

kept distinct from their assigned Committee Chair roles.

While Board Officers are elected by the membership to fill specific constitutional

roles, the assignment of Committee Chair duties is decided by the Board of

Directors post-election. The Board holds the authority to reassign committee

responsibilities among board members at any time via a board vote, without

requiring a new chapter-wide election.

1. Core Constitutional Board Officer Positions

These five positions are elected by the general membership. They hold primary

governance, fiduciary, and legal responsibilities for the chapter.

President

Ideal Candidate Profile

The ideal Chapter President is a strategic leader with strong organizational and

interpersonal skills. This person should be well-respected in the information

security community and demonstrate a commitment to professional development.

The successful candidate will be comfortable with public speaking, have excellent

communication skills, and be able to balance multiple priorities while maintaining

a focus on the chapter’s mission and growth.

Position Description

The President serves as the chief executive officer of the Chapter, providing overall

leadership, strategic direction, and operational oversight. The President is

responsible for ensuring the chapter complies with its bylaws and maintains its

alignment with the global (ISC)Ç Association.

Key Responsibilities

● Preside over all Board of Directors and general chapter business meetings.

● Serve as the primary liaison and official representative to the global (ISC)Ç

Association.

● Approve chapter expenditures and sign official agreements within limits

authorized by the Board.

● Coordinate chapter-wide operations and oversee general delegation to

committees.

Requirements & Time Commitment

Time Commitment: Approximately 10–12 hours per month.

Certification: Must maintain an active (ISC)Ç certification in good standing.

Conflict of Interest: Cannot serve on boards of competing organizations.

Vice President

Ideal Candidate Profile

The ideal Vice President is a collaborative, relationship-focused leader with strong

public relations and partnership-building skills. This person should have experience

in community outreach, public relations, or professional networking. The

successful candidate will be proactive, highly organized, and able to support the

President in governing and executing chapter strategy.

Position Description

The Vice President supports the President in chapter governance, assists with

strategic planning, and steps in to lead the chapter in the President’s absence. The

Vice President works closely with the rest of the board to oversee chapter

initiatives.

Key Responsibilities

● Perform the duties of the President in their absence, disability, or at their

request.

● Assist the President in strategic planning and general chapter

administration.

● Lead special projects and cross-functional initiatives as designated by the

Board.

Requirements & Time Commitment

Time Commitment: Approximately 6–8 hours per month.

Certification: Must maintain an active (ISC)Ç certification in good standing.

Conflict of Interest: Cannot serve on boards of competing organizations.

Treasurer

Ideal Candidate Profile

The ideal Chapter Treasurer is a financially astute professional with strong

analytical, budgeting, and accounting skills. This person should have experience

managing budgets, maintaining financial records, and ensuring compliance with

financial regulations. The successful candidate will be detail-oriented, highly

organized, and demonstrate impeccable integrity. Experience with non-profit

financial management, tax reporting, and accounting software is highly beneficial.

Position Description

The Treasurer serves as the financial steward of the Chapter, overseeing all

financial operations, maintaining accounts, preparing budgets, and ensuring state

and federal tax/regulatory compliance.

Key Responsibilities

● Manage all chapter bank and merchant accounts, process payments, and

maintain accurate financial records.

● Prepare the annual chapter budget and monitor expenditures against the

budget.

● Provide quarterly financial reports to the Board and present an annual

financial summary to the membership.

● Handle federal tax filings (IRS Form 990 series), maintain corporate

financial compliance, and manage chapter insurance.

Requirements & Time Commitment

Time Commitment: Approximately 6–8 hours per month (additional time

required during annual budget planning and tax preparation).

Certification: Must maintain an active (ISC)Ç certification in good standing.

Conflict of Interest: Cannot have any financial conflicts of interest with

chapter vendors, sponsors, or operations.

Secretary

Ideal Candidate Profile

The ideal Chapter Secretary is a detail-oriented professional with excellent

organizational, communication, and document-management skills. This person

should have experience with records management, be comfortable with

technology, and possess strong written communication abilities. Experience with

corporate documentation and state filings is beneficial.

Position Description

The Secretary serves as the official record keeper of the Chapter, maintaining all

corporate records, meeting minutes, general correspondence, and state filings.

Key Responsibilities

● Record, archive, and distribute minutes for all Board and chapter business

meetings.

● Maintain the chapter’s legal standing and corporate registration with state

authorities.

● Manage general official chapter correspondence.

● Maintain and organize the chapter’s official document archives and shared

drives.

Time Commitment: Approximately 6–8 hours per month.

Certification: Must maintain an active (ISC)Ç certification in good standing.

Conflict of Interest: Cannot have conflicts of interest that compromise

administrative impartiality.

Membership Chair

Ideal Candidate Profile

The ideal Membership Chair is an outgoing, relationship-focused professional with

strong interpersonal and organizational skills. This person should be passionate

about community building and have experience in customer service, member

relations, or onboarding roles. The successful candidate will be proactive and

comfortable with database management.

Position Description

The Membership Chair serves as the primary advocate for chapter members,

managing the member directory, driving recruitment and retention, and running

membership onboarding and renewals.

Key Responsibilities

● Maintain accurate and secure chapter membership records and

directories.

● Process new member applications, verify (ISC)Ç credentials, and manage

membership queries.

● Develop and execute strategies for member recruitment, engagement, and

annual retention.

● Conduct membership onboarding and send welcome information to new

members.

Certification: Must maintain an active (ISC)Ç certification in good standing.

Conflict of Interest: Cannot have conflicts of interest that compromise

member data privacy.

2. Flexible Committee Chair Assignments

To distribute workload, the chapter utilizes active committees staffed by member

volunteers. Rather than locking these functions to specific board positions in the

bylaws, the Board of Directors assigns these chair responsibilities post-election.

The Board has the flexibility to reassign these chairs at any time by a simple board

majority vote to align with board members’ availability, skills, and interests.

Default Committee Chair Mapping

At the start of the term, the Board intends to align the committees as follows,

subject to change:

President (Events Chair): Coordinates the monthly chapter meetings,

technical presentations, and networking events; manages speaker

relations and venue logistics.

Vice President (Outreach Chair): Builds partnerships with other

professional associations (e.g., ISACA, ISSA), manages corporate outreach,

and oversees university/student engagement.

Treasurer (Mentorship Chair): Runs the chapter’s mentorship programs,

including mentor-mentee matching, setting guidelines, and facilitating

professional development.

Secretary (Social Media & Sponsorship Chair): Manages chapter

marketing, newsletters, website content, and coordinates recruitment and

relations with chapter sponsors.

Membership Chair: Focuses directly on member relations, directory

management, and onboarding coordination.

Committee Descriptions

Events Committee

Responsible for planning and executing the chapter’s professional development

and networking calendar. The Chair coordinates speaker recruitment, venue

booking, and ensures all events comply with (ISC)Ç Continuing Professional

Education (CPE) requirements.

Outreach Committee

Responsible for extending the chapter’s community footprint. This includes

establishing joint-event partnerships with other local security organizations,

coordinating with Chicago-area universities to engage students, and leading

professional networking outreach.

Mentorship Committee

Coordinates the chapter’s formal mentorship program. Responsible for matching

mentors with mentees, providing resources and templates to guide mentoring

relationships, and running mentorship cohort check-ins.

Social Media & Sponsorship Committee

Responsible for external marketing, newsletter distribution, website updates, and

securing corporate sponsorship. The committee works to ensure the chapter’s

online presence is active and coordinates sponsor recognition benefits at chapter

events.
